Terms of Service
These Terms of Service form a binding agreement between you and Vertex Vector Technologies Inc. and govern your access to and use of SPOIL and related services.
1. Eligibility and Authority
You must be at least 13 years old, or the minimum age required by law in your jurisdiction to use the Services, whichever is higher. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
2. The Services
The Services provide software tools, AI-assisted features, account services, subscriptions, support tools, and related digital experiences under the SPOIL brand.
The Services may include automated and AI-assisted outputs, recommendations, summaries, labels, scores, or similar results ("Outputs"). Outputs may be generated using internal systems, cloud-hosted models, third-party technology providers, or a combination of those tools. Third-party trained model processing is used to generate scan outputs, including freshness assessments, recommendations, and confidence scores.
3. No Professional Advice; Use at Your Own Risk
The Services and any Outputs are provided for general informational purposes only. They are not medical advice, nutritional advice, laboratory testing, legal advice, emergency guidance, or any other professional advice.
You are solely responsible for evaluating any Output before acting on it and for any consequences arising from your decisions, actions, or omissions. Do not rely on the Services or any Output as the sole basis for a health, safety, consumption, purchase, storage, legal, or financial decision.
SPOIL's outputs are generated by automated systems analyzing visual information only. Results may be inaccurate, incomplete, or wrong. A "Fresh" verdict does not guarantee food is safe to consume. A "Spoiled" verdict does not mean food is necessarily unsafe. The Services cannot detect bacteria, allergens, chemical contamination, internal spoilage, or conditions not visible to a camera. Always use your own judgment, including smell, taste, texture, storage history, temperature handling, and expiration or best-before dates. Never rely solely on the Services to make food safety decisions. Vertex Vector Technologies Inc. is not liable for any illness, injury, allergic reaction, or loss resulting from reliance on the Services' outputs. If you are unsure whether food is safe, do not consume it.
4. Accounts and Security
Some features may require an account. You agree to provide accurate information and keep it reasonably current. You are responsible for maintaining the confidentiality of your credentials and for activities that occur under your account.
5. User Content
You may submit photos, text, feedback, bug reports, profile information, and other content through the Services ("User Content"). You retain ownership of your User Content, but you grant Vertex Vector and its service providers a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, process, transmit, analyze, display, distribute, and otherwise use User Content as reasonably necessary to provide, secure, support, improve, and operate the Services.
You represent that you have all rights needed to submit User Content and that your User Content does not infringe, violate, or misappropriate the rights of any third party.
6. Subscriptions, Billing, and Support Purchases
Some features may require a paid subscription or optional support purchase. If you purchase through Apple, Google, or another third-party platform, your billing relationship may also be governed by that platform's terms, billing policies, and refund rules.
- Subscriptions may renew automatically until cancelled.
- You must cancel before the renewal cutoff shown by the relevant platform to avoid the next charge.
- Cancellation stops future renewals but does not retroactively cancel charges already incurred.
- Except where required by law or platform policy, fees are non-refundable.
- Optional support purchases are separate from recurring subscriptions unless expressly stated otherwise and are generally non-refundable except where required by law.
7. Intellectual Property
The Services, including software, interface, design, text, graphics, workflows, trademarks, service marks, and related technology, are owned by Vertex Vector or its licensors and are protected by intellectual property and other laws. These Terms grant only a limited right to use the Services and do not transfer ownership.
8. Service Availability and Changes
We may add, remove, change, suspend, or discontinue any part of the Services at any time, with or without notice, including features, plans, limits, availability, or compatibility. We do not guarantee that the Services will always be available, uninterrupted, secure, accurate, or error-free.
9. Disclaimers
To the maximum extent permitted by law, the Services and all Outputs are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, non-infringement, and any warranties arising out of course of dealing, usage, or trade.
10. Limitation of Liability
To the maximum extent permitted by law, Vertex Vector, its affiliates, licensors, service providers, and their respective directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses arising out of or relating to the Services or these Terms.
Our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the lesser of:
- the total amount you paid to us for the Services during the six months immediately preceding the event giving rise to the claim; or
- USD $25.
11. Indemnity
You agree to defend, indemnify, and hold harmless Vertex Vector, its affiliates, licensors, service providers, and their respective directors, officers, employees, contractors, and agents from and against claims, damages, liabilities, losses, judgments, awards, costs, expenses, and fees arising out of or relating to your use or misuse of the Services, your User Content, your violation of these Terms, your violation of applicable law, or your violation of the rights of any third party.
12. Informal Resolution, Arbitration, and Class Action Waiver
Before starting a formal legal proceeding, you and Vertex Vector agree to try to resolve the dispute informally by contacting the other party first.
To the maximum extent permitted by law, disputes arising out of or relating to these Terms or the Services will be resolved on an individual basis. Neither you nor Vertex Vector may bring claims as a plaintiff or class member in a class, collective, consolidated, coordinated, or representative action.
Any dispute that cannot be resolved informally will be resolved by binding arbitration, except that either party may bring an individual claim in small claims court if eligible and either party may seek injunctive or equitable relief for misuse of intellectual property, confidentiality, or platform security. If applicable law in your jurisdiction gives you the right to bring a claim in a local court, or prohibits mandatory arbitration or class action waivers for a particular claim, those legal protections continue to apply to that claim to the extent required by law.
13. Governing Law
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-law principles, except to the extent mandatory consumer protection laws in your place of residence require the application of a different rule.
